LINDA NELSON LYSNE, CPA

Professional Experience:

Ms. Lysne is a licensed certified public accountant and has worked in both private and public accounting, including two years in the tax department of a “big eight” public accounting firm. She was admitted to the Washington State Bar Association in 1986 and has practiced law in private practice since 1987. Ms. Lysne joined Vandeberg Johnson & Gandara in January, 2005 and currently serves as Chair of Vandeberg Johnson & Gandara's Estate Planning & Probate Practice Group. Her practice emphasizes estate planning, including trusts, probate administration, Medicaid planning, elder law, and business and taxation associated with those areas of the law. Ms. Lysne has spoken at tax and estate planning seminars, for professionals as well as for various public interest groups.

DANIEL C. MONTOPOLI

Professional Experience:

Mr. Montopoli joined Vandeberg Johnson & Gandara in 1996, the same year that he was admitted to the Washington State Bar. Since that time, his practice has involved representing school districts in litigation concerning constitutional law challenges, civil rights, employment law, and special education disputes. Mr. Montopoli has also represented local and regional businesses in disputes involving commercial law, employment law, and intellectual property. Prior to attending law school, Mr. Montopoli was a writer, editor, and filmmaker in New York City, where he produced numerous books and films on medical and psychiatric issues.

Mr. Nitz joined Vandeberg Johnson & Gandara in 2004, after spending over fourteen years representing entrepreneurs, public and private companies, underwriters, and venture investors in private and public equity, debt and convertible securities offerings in emerging and established businesses. Mr. Nitz assists clients on a wide variety of corporate matters, including venture formation, equity and debt financing, corporate governance and planning, strategic alliances, and mergers and acquisitions, as well as acting as outside general counsel.

CONSTANCE L. PROCTOR

Ms. Proctor was formerly a partner with Shidler McBroom Gates and Lucas (now Preston Gates and Ellis), Alston Courtnage MacAulay & Proctor (now Alston Courtnage and Bassetti) and Karr Tuttle Campbell in Seattle. She joined Vandeberg Johnson & Gandara in 2006.

H. ANDREW SALLER, JR.

Professional Experience:

Mr. Saller was an Assistant Attorney General in the Labor & Industries and Tort Claims Divisions from 1982 to 1987, and a Special Assistant Attorney General from 1987 to 1988, 1994 to 1996, and 2000 to 2002, representing the Washington House of Representatives, Bates Community College and several individual public officials. He joined a predecessor of Vandeberg Johnson & Gandara in 1987. He was admitted to the Washington State Bar in 1982. Mr. Saller is the managing partner of the firm.

RICHARD D. THALER

Mr. Thaler joined Vandeberg Johnson & Gandara in 2005. Over the last thirty years he has represented real estate developers and both individual and institutional investors in a wide variety of purchase, sale, development, ground leasing, space leasing and financing transactions involving commercial and industrial real estate projects. Mr. Thaler has also represented banks, life companies and pension funds in a large number of construction and permanent financings of commercial and industrial real estate projects throughout the Pacific Northwest and Alaska.

PERRIN WALKER

Mr. Walker was an attorney for Weyerhaeuser Company for three years prior to entering private practice. He joined a predecessor of Vandeberg Johnson & Gandara in 1969. He was admitted to the Washington State Bar in 1966. Mr. Walker currently serves as Chair of Vandeberg Johnson & Gandara's Litigation Practice Group.

Honors and Awards:

Undergraduate degree with high honors. As a law student he was a Floyd Russell Meachem scholar. Professional Affiliations: Mr. Walker has participated in several local and Washington State Bar Association continuing legal education programs in various areas of business law, including evidence, corporate structure, attorney-client relations, ethics, intellectual property, conflicts of interest, securities and trade restraints. He has been active in several local and state Bar committees and he was a founding trustee and officer of the local Legal Assistance Foundation. He was a member of the University Place Community Council, 1993-1995, and served as pro bono counsel through the pre-incorporation process for the city of University Place. ELVIN J. VANDEBERG

Mr. Vandeberg is retired.

Professional Experience:

Mr. Vandeberg served one year as a law clerk for Justice Frank P. Weaver of the Washington State Supreme Court. He has served as Chief Assistant Attorney General for the State of Washington and as a Deputy Prosecuting Attorney for Pierce County, Washington. He joined a predecessor of Vandeberg Johnson & Gandara in 1959. He was admitted to the Washington State Bar in 1954.

JD 1954, Gonzaga University Law School. Honors and Awards: Law degree cum laude. Professional Affiliations: Mr. Vandeberg is a past president of the Tacoma-Pierce County Bar Association, the Tacoma-Pierce County Estate Planning Council, the Washington State Council of School Attorneys, and the Washington State Society of Hospital Attorneys. His Washington State Bar Association activities include membership on the Board of Bar Examiners, the Continuing Legal Education Committee (Chairman 1982 to 1983), and the Board of Continuing Legal Education (Chairman 1984). SCOTT D. WINSHIP

Professional Experience:

Mr. Winship served as a Deputy Prosecuting Attorney in both King and Pierce Counties before entering private practice as an associate with the Tacoma firm of Bonneville, Viert, Morton & McGoldrick in 1988. In 1990, Mr. Winship joined North Pacific Bank in Tacoma, Washington, eventually assuming leadership of that institution as President and CEO in 1995. Following the successful sale of North Pacific Bank in 1998, Mr. Winship joined the firm of Johanson Berenson LLP, a boutique business and corporate law firm based in Napa, California, where his practice included work in the areas of corporate finance, mergers and acquisitions, leveraged buyouts, employment law, and Employee Stock Ownership Plans. In 2002, Mr. Winship left the active practice of law to help organize and open Northwest Commercial Bank in Lakewood, Washington.
